Is it possible to do an in-place upgrade from Exchange 2000 to 2003, on a Windows 2000 Ad network?

Yes. Just make sure you upgrade to Exchange 2003 first (before the Windows 2003 upgrade) because Exchange 2000 will not run on Windows 2003. That way if you can't do both upgrades at the same time, you will have a working environment between the upgrades. Don't forget to perform good backups along the way.
